M&A

In mergers, acquisitions and reorganization of businesses, intellectual property rights, such as patents, trademarks, etc., are crucial to both valuation and negotiating strength. Read here how we handle M&A processes, from early due diligence analysis and risk assessment to strategic safeguarding of rights.

Mergers and Acquisitions (M&A)

Mergers and acquisitions are strategic tools that can strengthen a business, but they require clear decision-making and a structured process. Dragsted Partners guide clients on all IP-related aspects of transactions, from initial assessment of opportunities and risks to negotiations, preparation of transaction documentation and execution of the deal, focusing on creating a solid foundation that integrates legal, commercial and organizational considerations to ensure that the transaction delivers genuine value and supports long-term business objectives.

Dragsted Partners support clients through IP due diligence processes, risk assessments and integration planning, ensuring that decisions are based on a thorough understanding of opportunities and risks. Our objective is to provide confidence at every stage of the process and deliver tailored solutions that align with clients’ business strategies, goals and growth ambitions.

Licensing and sale

Through patenting, ideas and inventions are turned into tradeable and potentially value-creating assets, but it is also possible to invest in patents by buying existing rights. Licensing and sale are but some of the ways in which patents may contribute to generating value.

Licensing may take various forms, but most simply it involves selling the right to use a patented technology. By contrast, a sale involves the transfer of ownership of the patented technology, and the seller therefore surrenders the right in the underlying patent itself to the buyer.

When buying or selling patent rights, it is always recommended to make a thorough analysis of the scope and validity of the rights to ensure the best possible basis for assessing the value of the rights. Read more under IP Due Diligence.

Dragsted Partners see patents as an investment. If you are considering buying or selling patent rights, please do not hesitate to contact us for an informal talk.
